General terms and conditions
Quartz is a trade name of Design By (Indian Ocean) Ltd, a company incorporated in Mauritius, BRN C19166069, registered office c/o Axis Corporate Consultants, 26 Bank Street, 2nd Floor, 72201 Ebène, Mauritius, VAT 27719567. In these terms, "Quartz" means that company.
Version 2 of 27/10/2026 · This English version is a translation of the French original, which prevails.
1. Purpose, clients covered and acceptance
These terms govern every service provided by Quartz: website creation, mockups and on-demand changes.
The contract is made up of the following documents, in order of priority:
- the accepted quote (package, pages, features, price, specific requirements);
- these general terms and conditions, in the version attached to the quote.
If they conflict, the quote prevails. The client's own terms and conditions do not apply unless Quartz agrees to them in writing.
Acceptance. The contract is formed when the client accepts the quote: by signing it, by hand or electronically, by a written message stating the quote number, or by paying the deposit, provided that the quote and these terms were sent to the client in writing beforehand. The client gives the quote number as the payment reference. Quartz confirms in writing (PDF, email or WhatsApp) that the deposit has been received and gives the start date, attaching the signed quote and these terms: that message serves as the durable medium.
Clients covered. These terms are intended for clients ordering for the purposes of their business, which the client confirms in the quote. If the client is acting as a private individual, the mandatory rules that protect them in their country of residence apply in addition to these terms and prevail over any conflicting clause.
Private individuals resident in the European Union: right of withdrawal. This right only applies to a private individual resident in the European Union, not to businesses, whether in the European Union or elsewhere, nor to clients resident in Mauritius. The client may withdraw within 14 days of accepting the quote, without giving a reason and at no cost, by a written message to Quartz (email or WhatsApp) or by using the withdrawal form attached to the quote. If the client has expressly asked, by ticking the box provided in the quote, for work to begin before the end of that period and then withdraws, the client pays for the lots already performed (clause 4) and, for the lot in progress, an amount in proportion to the work done. Quartz refunds any excess deposit within 14 days. The right of withdrawal is lost once the service has been fully performed. The section of the quote dealing with it and its annex only appear in quotes for these clients.
2. The free mockup
The mockup is free and places the client under no obligation. It is protected by copyright: until the price has been paid in full (clause 12), it may not be copied, taken over by another provider, or put online by anyone other than Quartz.
It is published at a demonstration address (name.quartz.mu) and taken down within 48 hours on request. The business's own material it uses (name, logo, photos, public texts) is used for demonstration only and is removed at the same time.
3. Start of work
The project starts once the 50% deposit has been received. Until then, Quartz reserves no time slot and guarantees no timeframe.
4. Price and payment
Fixed price. The price in the quote is fixed for the scope described. It only changes if the client asks for something not included in it (clause 9). The quote is valid for 30 days.
Price and taxes. Prices are stated in the currency shown in the quote (Mauritian rupees or euros) and are paid in that currency. The amounts in the quote are exclusive of VAT, which is added: 15% for a client located in Mauritius, 0% (export of services) for a client established outside Mauritius and not present in Mauritius while the services are performed.
Payment schedule.
| Deposit | 50% on acceptance of the quote, after approval of the mockup |
| Balance | 50% on acceptance of the website (clause 10), payable within 7 days |
Going live after payment. The website is delivered on a preview address (clause 10). It only goes live on the client's domain once the balance has actually been received in the account of Design By (Indian Ocean) Ltd.
Lots. The price is split into three lots, whose amounts are shown in the quote:
| Lot | Content | Performed |
|---|---|---|
| 1 · Design, 50% | Approved mockup and design of all pages | On approval of the design |
| 2 · Build, 25% | Integration and content: complete website delivered on the preview address | On delivery on the preview address (clause 10) |
| 3 · Going live, 25% | Domain, SEO, handover of access | When the website goes live |
The lots do not change the payment schedule above. They set what remains due if the contract ends early: on cancellation (clause 15) or withdrawal (clause 1).
Payment methods. Bank transfer only. For payments from abroad, bank and currency exchange charges are borne by the client: the amount received must match the amount in the quote.
Late payment. If a payment is not made when due, Quartz may suspend all work until it is settled. Any amount unpaid when due bears, automatically and without any reminder, late payment interest of 5% per month (60% per year) for a business client and 2% per month (24% per year) for a private client, calculated per day of delay from the due date. A fixed recovery charge of MUR 2,000 per unpaid invoice, or its equivalent in the currency of the quote, is added. Interest due for a full year itself bears interest (article 1154 of the Mauritian Civil Code). If either rate cannot apply, the legal rate applies instead. Rights in the website are only assigned once payment has been made in full (clause 12).
Deposit. The deposit pays for the work already done on the mockup, the time reserved for the project and the work carried out from the start. If the client cancels or abandons the project (clause 15), Quartz keeps it as fixed compensation. It corresponds to lot 1.
5. Timeframes
The timeframe shown in the quote is an estimate. It depends on the size of the project and runs from receipt of the deposit and all the content (clause 6).
The timeframe is suspended whenever Quartz is waiting for the client: content, feedback, approval, access, payment, or action by a third party for whom the client is responsible (clause 8). Any delay by the client pushes delivery back by the same amount, and work resumes according to Quartz's availability at that time.
6. Content to be supplied by the client
What the client supplies. Before the build starts:
- information about the business: presentation, services, history, what sets it apart;
- the photos the client wants on the website, in the best quality available (original files, not screenshots);
- the client's logo, ideally as a vector file (SVG, PDF, AI);
- contact details, address, opening hours, links to social media;
- prices, menu or catalogue, if they are to be shown;
- for an online shop: the list of products with photos, prices, descriptions, options and delivery charges, together with the client's own terms of sale;
- the legal information that concerns the client (company name, BRN, notices specific to the business).
What Quartz does with it. Quartz writes and lays out the texts from what the client supplies, crops and optimises the client's photos, and provides an everyday translation into the languages listed in the quote. The client proofreads and approves the texts and translations and is responsible for their accuracy.
Not included, unless stated in the quote:
- photos and visuals: the client supplies those the website needs;
- creating or redesigning a logo or visual identity;
- sworn translation, or any language beyond those in the quote;
- writing from scratch, with no material supplied by the client;
- entering products beyond the number set in the quote.
Visuals sourced by Quartz. If the client does not have the visuals needed, Quartz may suggest some: images generated by artificial intelligence or taken from image libraries whose licence allows free commercial use. Depending on the size of the project, this option is either charged or free of charge, as stated in the quote. Quartz chooses sources whose licence allows this use and keeps a record of them. These visuals are not exclusive: the same image may appear on other websites, and an image generated by artificial intelligence may not be protected by copyright. The client approves each visual before the website goes live and makes sure that an illustrative visual is not presented as a real photo of the client's premises, products or team. If a third party challenges a visual supplied by Quartz, Quartz replaces it free of charge. Quartz's liability is limited to that replacement and to clause 13.
Other missing content. If any other content is missing, Quartz suggests a solution (logo design, full copywriting). If it is chargeable, it is added to the quote and the invoice once the client agrees. Without that agreement, Quartz may deliver with placeholder content marked as such, which the client will replace.
Incomplete content. Quartz confirms in writing the date on which the content is complete, which starts the timeframe (clause 5). If the content is not complete 14 days after the deposit has been paid, the project is put on hold. After 30 days on hold, Quartz may choose either to deliver the website with placeholder content marked as such, delivery and acceptance then following clause 10, or to terminate the contract, in which case Quartz keeps the deposit.
Accessibility. Unless stated in the quote, the website follows current good accessibility practice, without any audit or certification of compliance with a standard. If the client's business is subject to an accessibility obligation, in particular an online shop selling to consumers in the European Union, the client must tell Quartz before the quote is issued.
7. The client's responsibility for content
The client is solely responsible for the content it supplies or approves: texts, photos, logos, trade marks, prices, opening hours, reviews, and information about its products and services. The client warrants that:
- it holds the rights to the content it supplies, including photos taken by a photographer or posted on its social media;
- this content is accurate, up to date and lawful for its business;
- this content does not infringe anyone's rights (image rights, copyright, trade marks).
Photos posted by third parties (Google reviews, customers' posts on social media) belong to their authors. Quartz only uses them with the client's written agreement, and it is for the client to obtain the author's agreement.
The client will indemnify Quartz against any third-party claim relating to the content the client supplies, including any sums Quartz has to pay and its reasonable defence costs. Quartz may refuse content that is clearly unlawful or misleading.
The legal notice, privacy policy, cookie management and terms of sale of the client's website are the client's responsibility. Quartz may provide a starting template, which does not constitute legal advice.
8. Single point of contact and third parties
Single point of contact. The client names in the quote one person who gathers the feedback and approves each stage. That person's approvals bind the client. Opinions from other people (partner, management, family, another provider) go through that person and fall within the rounds set out in clause 9.
The client's providers. When the project depends on a third party chosen by the client (previous web provider, domain registrar, current host, business software, agency, accountant), obtaining that party's access, transfer codes or action is the client's responsibility. Time spent waiting suspends the timeframes and cannot be held against Quartz.
Third-party services. The website relies on external services: hosting, domain name, editing tool, Google (Maps, reviews, Search Console), WhatsApp, email delivery, payment provider, booking software. These accounts are opened in the client's name, or transferred to the client's name on payment in full (clause 12), and the client accepts their terms. Quartz is not liable for their outages, for changes to their prices or rules, or for their approval times (for example a bank or payment provider approving a merchant account).
The cost of these services, whether free or not on the date of the quote, depends on their provider. If it changes after delivery, it remains payable by the client.
Hosting. Where possible, the website is set up on the free plan of a well-established host. Quartz does not guarantee how long that plan will remain free. If the host restricts, suspends or starts charging for its plan, the client chooses between that host's paid plan and a move to another host, carried out by Quartz under a separate quote or by the provider of the client's choice.
9. Rounds of changes
Three rounds of changes are included in the price. Round 1 covers the mockup, before the order: it ends with approval of the mockup and payment of the deposit.
| Round | When | Scope |
|---|---|---|
| 1 | On the mockup, before the order | Direction, structure, style: everything is open |
| 2 | After the first complete version of the website | Content, texts, photos, adjustments to sections |
| 3 | Finishing touches | Corrections: typos, swapping a photo, editing a text, contact details |
Consolidated feedback. The client must gather its feedback into a single list per round. Feedback sent in several messages during the same round counts as one round as long as it arrives within the deadline below; after that, it opens the next round.
Feedback deadline. If no feedback is received within 7 days of Quartz sending the version for review, the stage is deemed approved and the project moves on to the next one.
Beyond that. A change after round 3, a request that reopens an approved stage (change of structure, layout or direction), or a request that adds a page or feature not in the quote, requires an additional quote, accepted in writing before any work starts.
Correcting a mistake made by Quartz (something that does not match the quote, a malfunction) never counts as a round.
10. Delivery and acceptance
Delivery. Delivery takes place when Quartz informs the client in writing that the website is finished and gives the preview address where it can be checked. The website goes live on the client's domain once the balance has been received (clause 4).
Checking. From delivery, the client has 15 days to report in writing, in a single list, anything that does not work or does not match the quote. Quartz fixes these points free of charge. The client then has 7 days to check those fixes only. New requests fall under clause 9.
Acceptance. The website is deemed accepted and approved, and the balance becomes due, as soon as any of the following occurs:
- the client approves it in writing (email or WhatsApp is enough);
- the client asks for the website to go live on its domain: that request counts as approval and acceptance. The website goes live on the client's domain once the balance has been received (clause 4);
- 15 days pass after delivery with no comment from or contact with the client, or the 7 days for checking fixes pass without any report, unless there is force majeure or a postponement agreed in writing;
- the client shares the website with its customers.
A minor issue that does not prevent the website from being used does not delay acceptance: it is recorded as an outstanding item and fixed as soon as possible. Placeholder content marked as such (clause 6) does not delay it either. The warranty in clause 11 applies in all cases.
11. Checking on acceptance and warranty
Checking by the client. Acceptance (clause 10) is when the client checks the whole website: pages, texts, links, forms, booking or payment, display on phone and computer. After acceptance, the client can no longer rely on a defect that it could have seen during that check.
Warranty. For 30 days after acceptance, Quartz fixes free of charge, within a reasonable time, any malfunction of a feature set out in the quote that the client reports in writing. Quartz keeps a copy of the accepted version, which serves as the reference. If a comparison with that copy shows that the website was changed after acceptance, by the client or by a third party, in a part related to the malfunction, the warranty only applies if the client proves that the change did not cause it.
Quartz keeps this copy for 3 years as a reference and as evidence. It contains no visitor data. Quartz is under no obligation to back up the website for the client.
After 30 days, any work is an on-demand change, under a separate quote.
The warranty does not cover:
- changes made by the client or a third party, including with the editing tool;
- a change to or outage of a third-party service (clause 8);
- expiry of the domain name or of a subscription the client did not renew;
- new requests.
12. Copyright and access
Assignment on payment in full. On payment of the price in full, Quartz assigns to the client all the economic rights, within the meaning of the Copyright Act 2014, in the elements created for the client: design, project-specific code, and texts written by Quartz. The assignment covers, for any purpose, the rights of reproduction, translation, adaptation, arrangement or other transformation, distribution to the public, rental, public performance, broadcasting and any other communication to the public, including making the elements available online, as well as the rights to publish, modify and further develop them, in any medium and by any means, online or offline. It applies worldwide and for the full legal term of protection. The price of the assignment is included in the quoted price.
Until payment in full, Quartz retains all rights. The client only has a temporary licence, limited to viewing the website on the preview address in order to check it: the website only goes live on the client's domain once the balance has actually been received (clause 4). Quartz may suspend this licence, including by taking the preview address offline, if a payment remains unpaid 8 days after a formal written notice.
Quartz's generic elements. Quartz keeps its methods, tools and generic components (technical structure, reusable functions) and may reuse them for other projects, without ever reusing anything specific to the client: identity, texts, photos, design. For those generic elements built into the website, Quartz grants the client, on payment in full, a non-exclusive, royalty-free, worldwide licence for the full term of the rights, allowing the client to use, modify and develop its website without restriction, alone or with the provider of its choice. Third-party libraries, fonts and visuals remain subject to their own licences (clause 6).
Moral rights. To the extent permitted by law, Quartz agrees, and will ensure that each individual who worked on the website agrees, not to exercise moral rights against changes that the client makes, or has made, to the website, and not to require their name to be credited.
Handover. On payment in full, Quartz transfers to the client the accounts and access it held for the project and, on request, hands over the code repository. After handover, Quartz keeps no access to the client's accounts unless the client expressly asks it to. The client is responsible for keeping its login details secure and for renewing its domain name and subscriptions.
Portfolio. The client authorises Quartz to show the website in its portfolio and marketing materials. The client may withdraw this authorisation at any time in writing. Quartz then removes the website from its online materials within 30 days, with no obligation regarding materials already distributed.
13. Quartz's liability
Quartz undertakes to deliver the pages and features set out in the quote, with care and in line with good professional practice. For anything that depends on external factors (search engines, third-party services, visitor behaviour), its obligation is one of means.
Quartz does not guarantee any business result: number of visits, ranking on Google or in artificial intelligence assistants, number of bookings or sales. These results also depend on search engines, competition and the client's business.
Except in the case of gross negligence or wilful misconduct, Quartz's liability is limited to direct and foreseeable damage and, in total, to the amount paid by the client for the service concerned. It does not cover indirect loss, nor any loss of revenue, customers or reputation, whether direct or indirect. The client is responsible for keeping its own copies of its content and data.
14. Personal data and confidentiality
The messages, bookings and orders received through the website are sent to the client, who is the controller of that data under the Data Protection Act 2017 of Mauritius and, if its website targets people in the European Union, under the GDPR. In particular, it is for the client to register with the Data Protection Office where the law requires it.
Quartz works with test data and does not need access to visitor data. If Quartz does access it for the project, Quartz acts as the client's processor, only on its written instructions, protects it with appropriate security measures, keeps it confidential, uses it for no other purpose and deletes it at handover.
Quartz uses the contact details of the client and its contacts to manage the project, invoicing and follow-up, and keeps them for as long as accounting rules require. These people may access or correct them by writing to mathieu@quartz.mu.
Each party keeps confidential any non-public information received from the other (access details, figures, projects).
15. Cancellation, suspension and termination
Cancellation by the client. Before the deposit: at no cost. After the deposit and before delivery: Quartz keeps the deposit, which corresponds to lot 1 (clause 4). After delivery on the preview address: lots 1 and 2 are due. Lot 3 is only due if the website goes live.
Prolonged silence. If the client does not respond for 30 days after a written request from Quartz, despite two written reminders sent during that period, the contract terminates automatically, without the need for a court order. The second reminder serves as formal notice and states this consequence. Quartz keeps the deposit. If the website has already been delivered, acceptance is deemed to have occurred (clause 10) and lot 2 remains due, lot 3 only if the website has gone live. Any later resumption is covered by a new quote, which may take account of work already done.
Termination by Quartz. Quartz may terminate the contract with immediate effect, without the need for a court order, by written notice stating its reasons, if the client:
- fails to pay an amount due within 8 days of a formal written notice;
- insists on unlawful or misleading content despite Quartz's refusal (clause 7);
- is abusive or threatening towards Quartz, or harasses Quartz with repeated messages;
- seriously breaches another of its obligations and fails to remedy it within 8 days of a formal written notice.
Quartz keeps the deposit, amounts already due remain payable, and the work produced remains Quartz's property (clause 12).
Quartz unable to complete. If Quartz cannot complete the project for a reason that is neither the client's doing nor force majeure, Quartz refunds the part of the deposit corresponding to work not done, hands over what has already been produced and assigns the rights in it to the client under clause 12.
16. Force majeure
Neither party is liable for a delay or failure caused by an event beyond its control that could not reasonably have been foreseen and whose effects could not be avoided: cyclone, flood, prolonged power or internet outage, serious illness or accident of the person carrying out the project, decision of the authorities. Timeframes are suspended for its duration. Force majeure does not excuse payment of an amount already due. If the event lasts more than 60 days, either party may terminate the contract in writing. The work done is then paid for in proportion: Quartz refunds the part of the deposit exceeding that work, or the client pays the difference if the work exceeds the deposit.
17. Communication, evidence and miscellaneous
Communication. Communication takes place by email or WhatsApp, using the addresses and numbers given in the quote. Each party must notify the other of any change in writing. A written message from the single point of contact (clause 8) counts as approval or feedback under these terms. Quartz replies within 2 days.
Evidence. The parties agree that emails, WhatsApp messages, screenshots of them and payment records have the same evidential value as a written document on paper to prove acceptance of the quote, approvals, feedback and payments.
Time periods. Periods are counted in calendar days.
Subcontractors and tools. Quartz may entrust part of the work to subcontractors and use tools, including artificial intelligence, without passing on any visitor personal data. Quartz remains solely responsible to the client for the work delivered.
Transfer of the contract. Quartz may transfer the contract to the company that carries on or takes over its business, by informing the client in writing. The client consents to this in advance. The transfer changes neither the price nor the client's rights. The client may not transfer the contract without Quartz's written consent.
Severability. If any clause is held void or unenforceable, it is replaced by the lawful rule closest to the parties' intention, and the other clauses remain in force.
No waiver. A party's failure to enforce a right at any given time does not amount to a waiver of that right.
Entire agreement. The quote and these terms form the entire agreement between the parties. They may only be changed by an additional quote or a written agreement.
18. Governing law and disputes
These terms and the contract are governed by the laws of Mauritius. In the event of a dispute, the parties first seek an amicable solution, although either party may still claim payment or seek urgent interim relief. Failing that, the dispute is brought before the courts of Mauritius, on which the parties confer exclusive jurisdiction. Quartz may, however, bring proceedings before the courts of the place where the client has its registered office or residence. For a client who is a private individual, this clause does not deprive them of the jurisdiction rules that protect them.
If the French and English versions differ, the French version prevails.
